In a large mixing bowl, MIX shortening, sugar, eggs, vanilla, flour, soda and oatmeal.
PRESS 1/2 of the mixture into the bottom of a 9 X 13-inch baking pan.
In a separate bowl, MIX chips, condensed milk, salt, vanilla and butter; SPREAD over the oatmeal mixture in pan.
SPREAD remaining oatmeal mixture over top of filling.
BAKE at 350F for 20-25 minutes.
